Under the Indian Partnership Act, 1932, a partnership firm may ordinarily be dissolved by agreement between the partners or in accordance with the provisions of the Act. However, when circumstances arise in which continuation of the firm becomes impracticable, unfair, or contrary to the interests of the partners, a partner may approach the court for dissolution of the firm. Section 44 of the Indian Partnership Act, 1932, specifically deals with dissolution of a firm by the court. The court has the power to order dissolution on a suit filed by a partner when any of the circumstances specified under the law exists. The first circumstance is when a partner has become of unsound mind. If a partner has become mentally incapable of managing his affairs, the other partners or the partner concerned may seek dissolution through the court. The court may consider whether the mental condition of the partner makes it impossible or impracticable to continue the partnership. Since partnership is based upon mutual confidence and the personal capacity of partners, the continued existence of the firm may become difficult when one of the partners becomes permanently incapable of participating in the business. Secondly, dissolution may be ordered when a partner becomes permanently incapable of performing his duties as a partner.
